The "agency cost" theory is very popular in corporate governance,under which corporate relationships have been narrowed down to the most powerful players,and the focus has always been on how to make managers and directors most accountable to shareholders.This paper discusses the problems hazards brought by the shareholder value and "agency cost" theories,probes into the roots and then finds out how to deal with these problems.
