注册商标转让合同的目的和后果是注册商标权属发生了变动。由于我国商标法明确了注册商标权属发生变动依登记为准，且要求系列商标一并转让，然而实践中对二者的关系存有不同理解，在老榆树商标转让纠纷中遇到了困境。基于合同效力与财产权利相分离的技术路线，国家对商标的权属变动登记应无涉于商标转让合同效力。只有针对注册商标转让合同的效力性强制性规范，才是判定该种合同效力的法律依据，而其他管制性规定则不具有左右合同效力的法律意义。系列商标一并转让有违于当事人的自由意志，应当予以修正。

The purpose and the consequence of the Registered Trademark Transfer Contract is the change of the registered trademark ownership, because the contract law of our country stipulates that the change of the trademark ownership should be in strict accordance with the registration, and requires that the related trademarks be transferred together. However, because there existed different understandings about the relationship between the two, we encountered with difficulties in the dispute of the ＂old elm＂ trademark transfer. On the basis of the technical route of the separation of the contract validity and the property rights, the registration of the trademark transfer should not interfere with the validity of the Trademark Transfer Contract. Only the compulsory regulation on the validity of the Registered Trademark transfer contract can be the legal ground deterring the validity of the contract, while other administrated regulations do not possess such legal effect. If the transfer of the related trademarks violated the agents＇ free will, it should be revised.
