In this paper we investigate the structure of TDerN and prove that it is a solvable Lie algebra, where N is the Lie algebra of strictly upper triangular n x n matrices over complex number field. The codimension of the derivation algebra DerN in TDerN is also determined. And then we obtain that DerN is the proper subalgebra of TDerN.
