The qualified investor is an entry threshold for the private equity fund investor, and also the key rule for development of the private equity fund. It is important for protecting the rights and interests of in-vestors, and promoting the development of private equity fund market to make its standard clear. In academic world, starting from the necessity of defining the qualified investors, and on the basis of reference to mature legislative experiences in relevant countries, it is explained clearly that the qualified investors should be de-fined from three aspects including identifying the subject, recognizing the standard and certificating the pro-cess, in order to clarify the boundaries between the private equity investment and illegal funding, and also to safeguard the financial market order.
