伴随着经济全球化的发展，并购已成为企业提升市场竞争力、促进产业发展和实现企业价值增值的有效方式。如何在并购中正确评估企业价值是并购成功与否的关键，而合理选择和应用价值评估方法是保证估值准确性的重要环节。不同的评估方法都有其各自的特点和适用性，同一企业选择不同的价值评估方法其估值结果会存在差异，进而影响并购定价和决策。并购企业并购动机、目标企业行业类型同样影响估值方法的选择。最后，结合我国国情对目前并购估值现状提出了相关的改善建议。

With the development of the globalization of economy, merger and acquisition is an effective way for enterprises to pro-mote the competitiveness of the market and the development of industry and to get the appreciation for the enterprise value. How to correctly assess the value of enterprises in merger and acquisition is the key to the success of merger and acquisition. Reason-able selection and application of value assessment methods is the important link to ensure the accuracy of the evaluations. Dif-ferent methods of evaluation have their own characteristics and applicability. When the same companies choose different meth-ods of the value evaluation, the valuation results will vary. That will affect the pricing and decision making of the M&A. The mo-tive of M&A and types of target enterprises’ industry also affect the choice of evaluation methods. At last, in combination of the situations of our country, we put forward some proposals to improve the present situations of M&A evaluation.
