商事登记制度是国家为了保障商事交易的安全而设置的一种商事制度，而我国的商事登记制度由于其时代局限性，受当时商事制度理念等的影响，存在着立法形式分散、前置审批过多、主体资格与营业资格混同以及审查标准不明确等问题，而广东则在全国率先开始商事登记登记改革，针对上述存在的问题或多或少进行了不同途径的改革，本文旨在分析我国目前商事登记制度的不足，同时通过兼评深圳珠海这两地的商事登记改革制度，寻找一些制度完善的路径。

The commercial registration system is a commercial system that country can protect business transactions ,in our country,because the effects of old commercial concept,the commercial registration system emerge the problem of scattered form of legislation、the problem of Excessive pre-approval、the problem of Qualification confused with business qualifications and the problem of Vague standard of review.In order to solve those problems,GaungDong con-ducts commercial registration reform at the first time.In the treatise,we will analyzes the shortcoming of our commercial registration,by the way,we also will discuss the reform of commercial registration in Shenzhen and Zhuhai.
