资源型民营企业转型升级的决定因素有：企业家素质；要素禀赋结构及其变化；制度因素；技术因素；社会环境因素。促进资源型民营企业转型升级的建议：引导企业向科技含量高、技术密集型的高利润生产方式转变；提高企业家素质，培养有知识、有文化的新一代企业家；深化体制改革，给予企业足够的转型空间；提高企业职工技术素养，及时更新企业设备；加大对自主创新型、低碳环保型等新型民营企业扶持力度。

This paper first introduces the determinants of transformation and upgrading with regard to resource-based private enterprises, these include:qualities of entrepreneurs, factor endowment structure and change, institutional factor, technological factors, and social environmental factors. And then this paper gives some suggestions required for promoting transformation and upgrading:we should guide the enterprise to the high profit production mode with high scientific and technological content and intensive technology, and cultivate a new generation of entrepreneurs with knowledge and culture. On this basis, we will deepen reform of the system so that the enterprises will have enough space for transformation;the technological literacy of workers of the enterprise must be enhanced;and business equipment will be updated in a timely manner. Last, but deifnitely not least is to give more support to the independent and innovative and low-carbon environmental new private-owned enterprises.
