合同能源管理是一种以节能改造为目的、以市场推广为手段的新型服务机制,其法律关系具有专业性强且周期长、双务且有偿、占有与权属不同时转移等特征。合同能源管理法律关系与分期付款合同、融资租赁合同、技术合同密切相关,是有名合同部分条款有机结合而成的无名合同。节能服务公司与用能单位是合同能源管理法律关系的重要主体。调整合同能源管理的法律关系,应当注重标准合同文本设计、风险分配与管理、合同变更与解除、违约救济与信用保障等事项。

Energy performance contracting is a new service mechanism which can achieve the purpose of energysaving by means of marketing promotion. Its legal characteristics include high professional level, long life cycle, mutual obligation, compensation, transfer of ownership and possession being not the same as, the legal relation- ship of energy performance contracting closely relates to the hire, leasing, technology contracts. It is an un- named contract which contains a part of named contract terms. Energy service companies and energy units are important subjects of the legal relations of energy performance contracting. To adjust the legal relationship of en- ergy performance contracting, we should focus on the text of the standard contract design, risk allocation and management, modification and rescission of contract, remedy for breach and credit matters.
