Based on the abnormal pecking order theory, this paper discusses the present situation of domestic and foreign enterprise group's cross-border M~A financing,and designs a financing innovation mode of cross-border M~A of China's private enterprise group including inter- nal capital market financing, strategy alliance financing and financial innovation financing.
