农民专业合作社是介于企业和社团间的一种特殊形态的法人，是实现农业经营产业化、管理专业化、运行市场化的有效组织形式。由于方新未艾，其治理结构普遍不够完善，运行机制存在种种不同程度的偏差与失效，从而导致合作社的互补效应和规模效应得不到充分发挥。农民专业合作社的治理困境需要从内部治理结构和外部治理机制两个层面入手加以解决，需要激励、监督和决策机制的建立健全，以及产权制度、市场环境和人才队伍的配套完善。

Farmer cooperative is a special and effective organization form between enterprise and community, which aims to achieve the industrialization of agriculture the specialization of management and the marketization of operation. However, there exist some problems such as inadequate governance structure and faulty operation mechanism. To improve famer cooperatives needs the improvement from both internal governance structure and external governance mechanism. Besides, the incentive mechanism, supervision mechanism and decision-making mecha- nism should also be improved, and the system of property right, market environment and personnel should be improved.
