私募股权投资基金（PE）是继传统信贷、证券上市之后的又一重要融资工具，有限合伙制PE在我国金融实务中发展相对迅速，我国有限合伙制PE设立法律规制中存在的问题与疏漏，对此进行法律规制十分必要。有限合伙制PE设立主体的资质，应在相应的部门法律中统一，并逐步健全征信制度、税收制度等配套法律制度。PE的市场准入门槛应有一定限制，以强化主体的运营实力，保护中小投资者利益，通过配套法规或规章，对有限合伙制PE的出资限额进行约束。

Private equity investment fund (PE) is another important financing tool, besides traditional way of credit and the listing of securities. Limited partnership PE develops relatively rapidly in Chinese financial practice. To formulate the related legal regulations has become an urgent demanding, as for the rising problems in limited partnership PE quick developing. The qualification of limited partnership PE entitles should be examined to properly control by relevant governments' regulations;meanwhile, credit inquiry system, taxation system and other legal regulations are expected to be improved gradually. APE market access threshold is required, in order to enhance the entities' operating capacity, safeguard the interests of medium and small investors and restrain the investment quota of limited partnership PE by related legal regulations.
