　　知识是企业最重要的资源，企业与外部研究单位的合作研发已成为企业学习新知识的重要渠道。唯有快速识别知识、获取知识并且将其成功转化为新产品与技术，企业才能在知识经济的激烈竞争中得以生存。文章对中小企业合作研发的知识交换与吸收的本质、知识吸收能力进行探讨，并对企业在合作研发中如何提高知识吸收能力给出了建议。

Knowledge is the most important resources for enterprise. Cooperative R&D of enterprises and external research units has become an important channel for the enterprises to learn new knowledge. Only can quickly identify knowledge, ac-quire knowledge and successfully turn the knowledge into new products and technology, enterprises can survive in the compe-tition of knowledge economy. The paper explores the nature of knowledge exchange and absorption of cooperative R&D in medium-sized and small enterprises, and puts forward the suggestions that how to improve the knowledge absorptive capacity to enterprises in the process of cooperative R&D.
