在全球金融监管改革浪潮中，中小投资者保护再次成为证券监管研究热点，加强中小投资者保护制度建设也是当前中国证券市场发展的重要任务。本文通过分析中外中小投资者保护的趋同性特征：监管取向明确化、监管主体专门化、监管依据危机推动化、监管流程规范化、国际监管合作化，对比中外中小投资者保护在监管模式、监管客体、监管依据、监管环境、监管效率这几个方面的差异性，为完善我国中小投资者保护制度提供有益的国际经验借鉴，旨在从重塑监管主体、规范监管客体、完善监管依据、净化监管环境，重塑监管取向五个方面探寻强化中小投资者权益保护的政策取向，积极完善、创新适合中国国情的中小投资者保护制度长效机制，对提高我国证券监管有效性也具有重要现实意义。

In the tide of the global financial regulatory reform,minority investor protection becomes a hot topic on securities reguG lation research once again.To strengthen minority investor protection is also an important task for the current development of Chinese securities market.This article not only analyzes the comparability features of Chinese and foreign minority investor protection:the exGplicit regulatory purpose,the special regulatory institution,the regulatory legislation based on the crisis,the standardized regulatory process,the international regulatory cooperation,but also finds otherness between Chinese and foreign minority investor protection in the regulatory system,the regulatory objects,the regulatory legislation,the regulatory environment,and the regulatory efficiency,to provide useful international experience for reference for our country.From five aspects of remodeling regulatory system,normative regulatory obj ects,perfecting the regulatory legislation,purifying the regulatory environment and reshape regulatory orientation,the paper finally analyzes the policy recommendations to make a along-term mechanism suitable to China's situation to strengthen minorGity investor protection.which is of important practical significance for China to enhance the effectiveness of securities regulation.
