国有资产是指属于国家所有的资产。国家作为全体人民意志和利益的代表，对全体人民共同所有的国有资产享有占有、使用、收益和处分的权利。全民所有制企业即国有企业，其资产不论是国家直接投入的，还是企业通过生产经营活动取得的，均属国家所有。国有产权转让主要涉及以下法律实务问题：一是就国有产权转让的标的企业开展法律尽职调查工作；二是对国有产权交易合同的审查；三是国有产权转移的行政确认事务。
