The paper,by defining the total cost of transaction-and-governance and employing evolutionary game theo?ry and discrete structural analysis of transaction cost in institutional changes, makes a study on economic behavior and boundary decision between coal enterprises and thermal power enterprises in China. The results show that: In theory, transaction cost and governance cost are the basis for two types of enterprises to make valid decisions when choosing the boundary. In technology, when making“make-or-buy”decisions, both sides need not only to calculate the probability and cost to make trading decisions,but also to solve the long-term cost-saving problem ac?cording to specific assets of enterprises. In reality, when the specific assets of both coal enterprises and thermal power enterprises vary along with the institutional changes, tactic decisions will reflect three trends, namely the market,the hybrid and the hierarchy. Finally,the paper puts forward some policy recommendations.
