When the letter of acceptance is issued,the contract is established and effective,but there is a considerable controversy about whether it is a pre-contract or a complete contract in theory and practice. In this paper,according to the distinguishing standards of pre-contract and complete contract,discusses the nature of establishment of the contract after the issuance of the letter of acceptance,from aspects of the concept of pre-contract,the intention of bidding,the content of bidding documents,liability for breach of contract and rights protection of parties and so on,to provide the reference for professional.
