中小企业集群民间借贷存在一定的特殊性，突出表现为具有社会资本的隐形规范优势和风险发生几率高、传染性强的劣势。通过激励性法律规制，维护中小企业集群诚信合作的外部环境，疏导中小企业集群民间借贷行为，以进一步增强中小企业集群开展民间借贷的优势。通过惩罚性法律规制，约束中小企业的失信行为，规范中小企业的违法行为，以进一步弥补中小企业集群民间借贷特殊风险凸显的劣势。
中小企業集群民間藉貸存在一定的特殊性，突齣錶現為具有社會資本的隱形規範優勢和風險髮生幾率高、傳染性彊的劣勢。通過激勵性法律規製，維護中小企業集群誠信閤作的外部環境，疏導中小企業集群民間藉貸行為，以進一步增彊中小企業集群開展民間藉貸的優勢。通過懲罰性法律規製，約束中小企業的失信行為，規範中小企業的違法行為，以進一步瀰補中小企業集群民間藉貸特殊風險凸顯的劣勢。

Private lending in cluster of small and medium-sized enterprises has certain particularity,especially for the advantage of in-visible norms of social capital and for the disadvantage of high risk and risk infectivity. Through incentive legal regulation,the advan-tage can be further enhanced by maintaining the external environment for the honest cooperation in the cluster of small and medium-sized enterprises and by dredging their private lending practices. Through punitive legal regulation,the disadvantages can be offset by constraining the dishonest practices and standardizing the illegal behavior of small and medium-sized enterprises.
