国际钻井大包合同涉及复杂的法律关系并隐含着重大风险。法律风险是法律及商务人员在实务中面临的重大问题。有效防范法律风险是合同签订之前法律人员面临的第一要务。结合在国际油气领域中涉外合同管理经验，提出国际大包合同中识别法律风险、防范法律风险及防范的措施：法律及商务人员在投标前通过标前澄清、风险初评、风险再评估等手段对面临的法律风险进行评估，根据风险的发生可能性及严重性进行定量分析并得出风险判断结论；再根据企业对该项目的利益期望及风险管理能力、风险承受能力，采取风险回避、风险转移、风险自留的风险预防措施和应对策略。

International lump sum drilling contract involves complex legal relationships and implies great risks.The legal risks are the primary problem to legal and business personnel.How to prevent legal risks effectively is legal staff's first task be-fore signing a drilling contract.In this paper,combining with the international contract administrative experience in oil and gas fields,the author presents identification of legal risk,preventing sush risks and countermeasures in the international lump sum drilling contract:legal and commercial staff to assess the legal risks prior to pre-bid clarification,primary assessment of risks, re-assessment of the risks,etc.and reach conclusions on risks based on the possibility of risk occurrence and quantitative anal-ysis of its severity;then take risk preventive measures and countermeasures like risk avoidance,risk transfer and risk retention according to the interest expectation from the project,risk management capacity and risk tolerance of the company.
