我国自2002年最高人民法院颁布司法解释起正式建立虚假陈述民事责任制度。司法实践中，该制度的争议焦点在于：第一，前置条件是否限制了案件范围；第二，实体法规则能否保证立法目的的实现；第三，是否亟需引进集团诉讼制度。本文以起诉率和赔付率为实证路径进行实证研究，发现该类案件起诉率不高，但赔付率较好。基于对上述争议焦点的实证分析得出以下结论并提出完善建议：第一，前置程序不是起诉率低的主要原因，但应扩大满足前置条件的处罚类型和范围；第二，现行法律能够实现赔偿投资者损失的立法目的，但仍需细化相关规则；第三，诉讼形式尚能满足司法实践需求，但引进集团诉讼制度是未来发展方向。

We build the system of civil responsibility for misrepresentation since the judicial interpretation was promulgated by Supreme People’s Court in 2002.There are variety of controversies in judicial practice:Firstly,the pre-condition limits the scope of the case inappropriate;Secondly,whether the existing regulations can ensure the realization of the legislative purpose or not;Finally,shall we introduce the form of group litigation urgently.This paper make a systematic empirical research by studying the judgments documents of the misrepresentation cases.Overall,the prosecution rate is not very well but the compensation rate is pretty good.We can drew conclusions and give suggestions based on the empirical analysis on the above controversies:First of all,pre-condition is not the main cause of the low rate of prosecution,but we need to expand the type of punishment to meet the pre-condition;Secondly,the existing laws can ensure the realization of the legislative purpose,but the regulations need to refine;Finally,the form of litigation can meet the need of judicial practice,but we still need to introduce the form of group litigation in the future.
