通过对华夏建通公司诉严某短线交易案的分析，表明我国《证券法》第47条在立法层面上存在一定问题。我国应通过域外先进立法例的学习和借鉴，进一步完善短线交易归入权制度的义务主体、认定标准、计算方法、豁免情形及配套措施，如此方能在提升制度正当性的同时更有效地发挥“事先阻吓”的功能。

통과대화하건통공사소엄모단선교역안적분석，표명아국《증권법》제47조재입법층면상존재일정문제。아국응통과역외선진입법례적학습화차감，진일보완선단선교역귀입권제도적의무주체、인정표준、계산방법、활면정형급배투조시，여차방능재제승제도정당성적동시경유효지발휘“사선조하”적공능。
In this paper,it will through the analysis of the Chinese construction company v.strict a short- term trading case,points out the problems of “Securities Law”forty-seventh article exists in legislation.Our country should through study and reference the advanced legislation overseas to further improve the short-term trading,disgorgement system of obligation subject,standard,calculation method,exemptions and supporting measures,so as to enhance the legitimacy in system and more effectively play “to deter”function.
