通过对甘肃省科研单位、高等院校的调查分析，认为《甘肃省促进科技成果转化条例》（简称《条例》）实施以来取得的成绩有目共睹，但《条例》本身存在着明显的疏漏，即在科研单位、高等院校协同创新与成果转化的具体运行机制或组织形式方面缺乏必要的规定及其相应的保障措施，这是《条例》立法不可回避的一个关键问题。另外，《条例》中“科工贸”一体的提法有较多的不妥之处，普遍流行的项目团队并不是一种最优的合作机制，最优模式是能够最大限度降低内部交易成本的合作模式，即“产&学&研”团队或“师门（校友）团队”，或以其为主要架构整合其他资源的组织形式。因此，建议将《条例》的有关条款作出必要的修订。

Through investigation and analysis on scientific research units,colleges and universities in Gansu province,the achievements are obvious since the implementation of “Byelaw of promoting transformation of scientific and technological a-chievements in Gansu province ”,but there are significant omissions in the byelaw.It lacks necessary rules and its corre-sponding guarantee measures in terms of specific operation mechanism or organization form of collaborative innovation and a-chievements transformation for research units and institutions of higher learning,which is an unavoidable key issue in the Byelaw’s legislation.In addition,the proposition of “combination of science and technology,industry,trade”in the bye-law is not exact.The popular project team is not an optimal cooperation mechanism,and the optimal model is a cooperative mode which can minimize the internal transaction cost,such as “production &study &research team”or “master team”(alumni),or an organization form integrating other resources.Therefore,it is suggested that the necessary revisions should be made to the relevant provisions of the Byelaw.
