项目治理理论的探讨和研究在我国方兴未艾，尤其是在项目治理结构方面，相关研究和实践仍较少。本文以交易费用理论为研究工具，探讨了项目治理的内涵和工程项目治理结构的本质内容。进一步以资产专用性、不确定性、频率将交易维度化，以契约法则、调适手段、调适类型将治理结构维度化。两者进行匹配关联，得出不同交易模式下治理结构的定位。根据工程项目高资产专用性、多风险、低频率的交易特性，运用交易与治理结构的关联匹配关系，得出工程项目治理结构的基本定位，即混合式三边治理模式。在此定位下，进一步对项目治理结构进行设计是未来重要研究方向。

The discussion and research of project governance theory are just unfolded and still growing in China, especially in the aspect of project governance structure, while the related research and practice are still seldom. By using transaction cost theory as a research tool, the paper discusses the connotation of project governance, and explores the essence content of the project governance struc-ture. Further, through dimensioning transaction by asset specificity, uncertainty, frequency, and di-mensioning governance structure by contract law, adjustment means, adjustment type, matching them, the paper obtained the location of different governance structure under different transaction mode. According to the characteristic of engineering project trade as follows : high asset specificity, multi risk, low frequency, and the relationship between transaction and governance structure , draw the basic localization of project governance structure, namely three-way governance mode. Under this localization, further designing the project governance structure, is an important research direction in the future.
