法定公司资本制是我国现行所采用的资本规范制度,目前,对于这一制度在当下的局限性,众多研究大多集中于探讨其具体制度规则群在现实操作上的困难.然而这样的研究视角尚无法揭示法定资本制与现实的本质悖反,本文力图从法定资本制的初始理念入手,论证法定资本制的两个支撑性初始理念:有限责任外部性问题的规制和公司以资本为信的立法初衷已经与当下的资本运行呈现出一种疏离和悖反之势,从而在更加纵深的层次证明既有法定资本制的根本局限,进一步拓宽这一问题的研究视角,增强改革既有法定资本制这一学术主张的理论说服力.

Presently, almost critical studies of legal capital system in China are focusing on the difficulties of putting the concrete rules of this system into practice. However, the angle of view of criticizing concrete rules cannot unveil the essential conflicts of legal capital system with the present situation. This article tries to prove the essential limitation of this system from a new point of view that is two original legislative intents of legal capital system are unable to accord with the actual operation of corporate capital, which will eventually demonstrate that legal capital system has been out of date, and should be reformed at once.
