Leveraging is not merely a way of financing, but rather important to corporate governance. From the perspective of leveraging, this paper analyzes the defects of the corporate governance in the native state- owned enterprises. It proves the invalidation of the debt - to - equity swap, and presents some suggestions of improving their corporate governance.
