债上第三人在债法上的权利包括直接请求权、抗辩权及第三人权利变动时的权利。同时，第三人亦应承担特定的义务。中国的债权立法应给予第三人独立的法律地位，建立第三人侵害债权制度，在救济程序上应改变以往单纯启动违约责任或侵权责任的方式而采用责任竞合方式。

The third party in debt law should consist of right of direct quest , counter pleading right and the fight when the third party has changed. At the same time, the third party should shoulder the special obligations. As a result, wo should alter the situation in relief by contract liability or in fringement independently in the past and add obligations in infringing creditor＇s rights by the third party.
