实施国有企业改制方案遭遇的阻力表明产权改革是艰难的制度变迁;“郎顾之争”等凸显出企业改制多种理论视角。国有企业产权改革方向只能坚持不能偏离,更不能废弃,改制方案则应该体现投资者保护、经营者激励和员工补偿三个视角的统一,体现参与改制的战略投资者、民营企业以及广大中小投资者利益的统一。

A trouble inthe change blueprint of state-owned enterprises shows that property right structure reformation is the most difficult thing in the systematical changes. A dispute between economist and enterpriser shows that there are a lot of theoretical perspectives and basic orientations. The blue print of reformation of state-owned enterprises should show the visual angles consolidation among investor protection, manager promotion and employee compensation, and the benefit eonsolidation among strategic investor, private enterprise and small investor.
