On the base of analyzing the properties and the main problems of the entrepreneurship and innovation in small and mediumsized enterprise （SME）, The paper points out that the financing problems and motivating mechanisms are major obstacles to the entrepreneurship and innovation in the SME sector. Finally, five strategy countermeasures have been put forward to improve policy system for entrepreneurship and innovation in China.
