由于公司自治的基础是意思自治，强调的是主体的自由、自主和独立，追求的是个体利益的满足；国家强制的基础是在市场失灵情况下的国家于预，体现的是国家对公共利益的保护，两者具有不同的价值诉求，从司法裁判的角度来讲，惟有将两者的平衡作为指导思想，恰当运用司法自由裁量权、防止司法权的滥用，才能协调两者的冲突，在个案中实现公司自治与国家强制之间的有机平衡。
유우공사자치적기출시의사자치，강조적시주체적자유、자주화독립，추구적시개체이익적만족；국가강제적기출시재시장실령정황하적국가우예，체현적시국가대공공이익적보호，량자구유불동적개치소구，종사법재판적각도래강，유유장량자적평형작위지도사상，흡당운용사법자유재량권、방지사법권적람용，재능협조량자적충돌，재개안중실현공사자치여국가강제지간적유궤평형。
Along with the emergence of organizations like company, the divergence and harmony of company＇s sel-governance and national compulsion is becoming the focus of attention. In view that autonomy of the will is fudmental to company＇ s selgovernance, in order to satisfy rights and interests of individuals whose freedom, independence are to be respected, while govermental interference is fudmental to national compulsion based on market failure, in order to satisfy the proteetion of public interests. For diferent goals of values, how to harmony the relations between company＇s sel-governace and national compulsion is theme to company law. In accordance with judicial practices, suitable guiding ideology and principles shall be established.
