董事会职能的转变过程受制于占统治地位的社会环境，而社会环境又是社会政治经济力量共同作用的结果。从我国的特殊历史政治环境以及经济转型过程来看，我国董事会类型的演变依次经历政治型、管理型、治理型三种类型董事会，并要充分发挥着行政命令、监督管理、战略决策的功能。今后我国现代化企业制度董事会的发展方向应该定位于治理型董事会。

The board＇s function is determined by social environment,which results from he action of social polity and economy.With China＇s political ＆ economic environment＇s evolvement, traditional state- owned companies transform themselves to modem corporations. Board of directors experiences political type, supervised type and governance in turn, they playing a role in administration, supervision and strategic decision repectively, the orientation of our board should be govenance type in future.
