我国独立董事选聘机制各环节的执行现状存在较多问题,结合股东平等和股权平等原则,研究表明：在提名环节,视上市公司的股权结构,制定符合企业自身需求的提名制度,是选聘机制各环节执行的保障。比如：由提名委员会提名,同时对大股东提名权进行限制;在选举任命环节,全面引入并强制执行累积投票制度;在罢免环节,完善正当程序,建立披露制度和补偿机制。
我國獨立董事選聘機製各環節的執行現狀存在較多問題,結閤股東平等和股權平等原則,研究錶明：在提名環節,視上市公司的股權結構,製定符閤企業自身需求的提名製度,是選聘機製各環節執行的保障。比如：由提名委員會提名,同時對大股東提名權進行限製;在選舉任命環節,全麵引入併彊製執行纍積投票製度;在罷免環節,完善正噹程序,建立披露製度和補償機製。
아국독립동사선빙궤제각배절적집행현상존재교다문제,결합고동평등화고권평등원칙,연구표명：재제명배절,시상시공사적고권결구,제정부합기업자신수구적제명제도,시선빙궤제각배절집행적보장。비여：유제명위원회제명,동시대대고동제명권진행한제;재선거임명배절,전면인입병강제집행루적투표제도;재파면배절,완선정당정서,건립피로제도화보상궤제。
This article, based on the status quo of the various links concerning electing independent directors, together with the principle of shareholder equality and equity equality, analyzes the advantages and disadvantages of the current practice. It points out that a proper nomination system shall be designed to correspond to the equity structure of the list company. For example, the nomination committee can nominate independent directors while the nomination right of major shareholders has to be restricted. In election and appointment, the cumulative voting shall be introduced and enforced. In dismissing practice, the justified procedure shall be improved, establishing disclosure and compensation system.
