The corporate governance of state-owned enterprises affiliated with the district and county in Shanghai has only just begun, especially in board of directors of corporation. According to a sampled questionnaire survey to state-owned enterprises affiliated with the district and county in Shanghai, this paper paints a full picture of their profession, ownership and corporate governance and puts the main emphasis on analysis of the questions about board of directors in comparison with demands of OECD.
