本文专注于外包的知识转移和学习功能。为此建立了外包中跨国发包公司和发展中国家承包公司的收益函数的模型。在我们的模型中，外包的主体是发达国家与发展中国家之间的企业关系。基于技术落差，发包企业传输给承包企业的信息，要远大于承包企业传输给发包企业的信息，但是这种知识外溢也得到了承包企业的其他利益甚至知识诀窍的补偿，因此外包是利益对等的补偿过程。同时，由于发包企业与承包企业之间的研发能力不均等，需要进行互补性学习的内容也不同，因此决定了在国际市场竞争中，双方是合作博弈的伙伴，需要使用合作博弈模型。作为验证，我们引用了台湾中小计算机企业的成功案例。本文据此提出，政府的政策引导以及企业内部的价值链升级，是未来我国外包企业产业升级的关键问题。

This paper is focused on knowledge transfer and learning of the outsourcing process. We set up the payoff function for the outsourcing finn in the developing country and the transnational host firm, conclude the information the host finn delivered to the outsoureing finn is bigger than the outsoureing finn delivered to the host firm. But other profits from the outsourcing firm can compensate for the knowledge externality of the host firm. Meanwhile, the R＆D skills between two finns are different and the complementary learning is needed. Hence the host firm and the outsourcing finn are partners in the worldwide competition and a collusion game model should be used. To verify this a case study of Taiwan＇s small and medium-sized enterprise is introduced and suggestions are given, i. e. , the government guide and the upgrading in the value chain of the enterprises are key issues for the future development.
