伴随市场化改革的深入,国有企业规制改革必将面对一个始终困扰着它的前提性问题,即国有企业的定位。国有企业的“功能悖论”终将导致其演化为市场功能型企业与社会功能型企业,这将促使我国国有企业的规制改革必须根据我国社会主义初级阶段理论与实际国情展开。本文借鉴了西方国家在具体规制改革进程中所采取的一些措施经验,提出我国国有企业规制改革的关键在于确立劳动者所有权制度,可按照实际上的需要和治理上的可能,通过一系列立法活动以企业董事会为中介,逐步、系统、稳定、周全地划分政府与企业之间的劳动者所有权权能.重在提高国有企业劳动者所有权各项权能及其结构安排的效率.

Along with elements of market - oriented reform, State - owned enterprise regulatory reform is bound to face a prerequisite problem, that is the orientation of state - owned enterprises. "The Paradox of functions" of the state - owned enterprises will eventually lead to a lot of problems, which means that in China, the state - owned enterprises regulatory reform must be based on the initial stage of China~ socialist theory, practice and national conditions. Learning from Western countries in the specific regulations in the process of reform measures, this paper suggests that the key of state - owned enterprises regulatory reform is to establish the labor~ ownership. And in accordance with the actual needs and the possibility of governance as well as through a series of legislative activities, we can take the Board of Directors for the Enterprise as an intermediary to gradu- ally, systematically, stably and considerately divide the labor~ ownership powers between the Government and the corporate, and focus on the improvement of ownership power and structural arrangement efficiency.
