西方企业宏观治理是超脱于企业内部权力架构的一种治理形式，是在企业之外的治理模式。西方企业宏观治理范式的演进遵循了库恩关于“范式”更替的科学逻辑，历经了三次转型，分别为范式缺失到“市场一元论”或“国家一元论”范式的确立，从市场或国家的一元论范式到国家一市场的二元范式的转变，再到国家一市场的二元范式向社会一国家一市场的三元范式的演进。西方企业宏观治理范式转型，解释了企业治理宏观演进的历史必然，意味着西方企业宏观治理研究不断走向成熟。

The macro-governance of enterprises is one of the outside governance models beyond the internal pow- er structure of enterprises. The evolution of the macro-governance of the Western enterprises follows the scientific logic of the Kuhn＇s paradigm and has experienced the transition three times： from the missing paradigm to ＂the market or the state＂ governance, and then to ＂the state-the market＂ dual governance, and finally to ＂the society-the state-the market＂ three elements＇ governance. The paradigm transition of the macro-governance of the Western enterprises has interpreted the history of the inevitable evolution of governance, and implies a full-fled- ging researches on the governance of enterprises in the West.
