第三人利益合同成立须符合基础合同有效成立、受诺人与允诺人须有使第三人受益的意图、受诺人与允诺人须使第三人直接取得权利、第三人必须特定等要件。其变动规则是：合同当事人不得随意变更、撤销利益第三人约款。经第三人同意当事人可约定解除第三人利益合同。在法定解除情形,合同当事人行使合同解除权无须第三人同意。
第三人利益閤同成立鬚符閤基礎閤同有效成立、受諾人與允諾人鬚有使第三人受益的意圖、受諾人與允諾人鬚使第三人直接取得權利、第三人必鬚特定等要件。其變動規則是：閤同噹事人不得隨意變更、撤銷利益第三人約款。經第三人同意噹事人可約定解除第三人利益閤同。在法定解除情形,閤同噹事人行使閤同解除權無鬚第三人同意。
제삼인이익합동성립수부합기출합동유효성립、수낙인여윤낙인수유사제삼인수익적의도、수낙인여윤낙인수사제삼인직접취득권리、제삼인필수특정등요건。기변동규칙시：합동당사인불득수의변경、철소이익제삼인약관。경제삼인동의당사인가약정해제제삼인이익합동。재법정해제정형,합동당사인행사합동해제권무수제삼인동의。
There are four important qualifications when the contract for the benefit of third party comes into being.First,basal contract must form availably.Second,promisee and promisor must have intention to benefit the third party.Third,the third party must acquire rights from promisee and promisor directly.Forth,the third party must be specified.Parties of contract can not change nor cancel articles benefiting third party optionally.However,they can agree to cancel contract for the benefit of third party when the third party agrees.On legal conditions of canceling contract,they can cancel without third party＇s agreement.
