随着我国证券市场高速发展,上市公司飞速成长,其主体作用越发明显。但是,期间也存在一些问题,其中最为突出的矛盾是控股股东侵占中小股东权益的问题。中小股东是上市公司持续融资的重要来源,是证券市场稳定的基石,其权益的受损将直接影响上市公司经济效益与持续发展。本文尝试将机理与诱因为出发点,分析中小股东权益受损的实际状况,找出问题的根源,并制定相应的解决对策。

With the rapid development of China＇s securities market,listed company＇s development is very rapid,and its principal role has become more obvious.However,but there are some problems in its development process,the most prominent problem is that dominant shareholder seizes the interests of small and medium shareholders.Small and medium shareholders is important sources of sustainable financing of listed companies and play a fundamental role of the stability of securities markets,and their damaged rights directly affect economic efficiency and sustainable development of listed company.This paper tries to start with mechanism and incentive,analyzes practical situation of small and medium shareholders＇ loss,and finds the causes of the problems and formulates the appropriate solutions.
