内幕交易可谓是证券市场上的“毒瘤”，随着对其危害性认识的不断深入，各国纷纷立法对其加以规制。但如何准确界定内幕交易这一证券交易欺诈行为，对于各国监管者而言却非一件易事。通过对中美两国相关立法及判例的比较研究，要对内幕交易有一个准确的认识，至少应从内幕人员、内幕信息和内幕交易行为三个方面加以深入把握。

Insider trading is regulated by more and more countries with a well knowledge of its harmfulness, which is considered as a ＂cancer＂ in the securities market. But it is not easy to define the insider trading. Through the study of the legal provisions and related judicial precedents of the U. S. and China, we should have a precise master of the insider trading from the points of insider, insider information and prohibited activities.
