“十二五”规划提出了煤炭企业通过资源整合、兼并重组方式发展大型煤炭企业集团的战略目标，煤炭企业能否有效兼并整合，关键在于并购模式的选择。本文综述了国内外学术界对企业并购模式选择的不同观点，以SWOT模型为基础，对企业并购模式选择作了可行性分析，制定出煤炭企业集团并购模式战略选择的分析框架，并以开滦集团进行案例分析。
