我国现行显失公平制度在实体要件和程序要件的认定标准方面存在较为严重的缺陷，在具体法律适用过程中也存在问题。借鉴法国、德国等国家的类似制度，可将显失公平实体要件的认定标准调整为“缔约时交换物对双方的效用明显不对等”，将程序要件的认定标准调整为“缔约过程中，一方当事人不正当地利用对方的弱点，令对方当事人不能做出有意义的选择”，以此重构我国的显失公平制度，完善现行制度中存在的不足。
아국현행현실공평제도재실체요건화정서요건적인정표준방면존재교위엄중적결함，재구체법률괄용과정중야존재문제。차감법국、덕국등국가적유사제도，가장현실공평실체요건적인정표준조정위“체약시교환물대쌍방적효용명현불대등”，장정서요건적인정표준조정위“체약과정중，일방당사인불정당지이용대방적약점，령대방당사인불능주출유의의적선택”，이차중구아국적현실공평제도，완선현행제도중존재적불족。
There are some severe defects on the standards of the substantial essential and the procedural essential of our present system of unconscionability,and there are some problems in applying the system. In order to improve it, the article suggests the reconstruction of the system by referring to the relevant provisions of the ＂French Civil Code＂ and ＂German Civil Code＂. This article suggests that the standard of the substantial essential should be：＂the use of the exchanged goods for both is not equity obviously when the clients concluded the contract＂ ;and the standard of the procedural essential should be：＂one of the clients can＇ t make the meaningful choice because the other one makes use of his weakness unduly when they were bargaining＂.
