Private benefit of control reduces the effectiveness of the control market, and also affects the healthy development of the capital market. This research analyze the restraining factors of the private benefit of control, and the problems existed in the governance of the private benefit of control in China. Then, it proposes a method of internal governance to the private benefit of control from a perspective of the independent director＇ s reputation stimuation mechanism.
