网络运营商与用户之间协议是一类新兴的合同,其法律规制关系着对作为新型消费者的用户之权益的合理保护。就性质而言,用户协议属于无名合同中的混合合同,其条款规定应具有＂明示＂性。除以增进用户利益为目的,运营商不得单方、任意变更协议条款。运营商应负有服务说明义务、告知义务和协助义务,在行使解除权时应受到一定的限制。并且,应有区别地对待不同情形下免责条款或禁止性条款的效力。

The agreement between network operator and its users is an emerging type of contracts, its legal regulation related to the reasonable protection of the interests of users as a new type of consumer. In nature, the user agreement is a compound contract belongs to the nameless contracts, and its provisions should be explicit. Unless for the purpose of pro-moting the interests of users shall the operator not unilaterally and arbitrarily change the terms of the agreement. The opera- tor should bear the obligations to explain, inform and assist the services to its users, and subject to certain restrictions while exercising of its right to rescind. The effectiveness of the exemption clauses and prohibited clauses should be treated differ- ently in different circumstances.
