合同相对性原则在合同法规则体系中具有基石性的地位,在实体法和司法审判方面都具有重要的功能。最高人民法院《关于审理商品房买卖合同纠纷案件适用法律若干问题的解释》第25条第二款的规定背离了合同相对性原则,造成了理论上的缺陷和实践中的困境。应当对该条司法解释的原意作出诠释,使其符合合同相对性原则,尊重合同当事人的约定,赋予当事人诉权及选择权,赋予法官自由裁量权,并在司法实践中正确处理合同相对性原则与司法裁量权的关系。

The privity of contract has a comerstone status in contract law system, also has important functions in substantive law and judicial trial. Article 25（2） of the Interpretation of the Supreme Peopleg Court on the Relevant Issues Con- ceming the Application of Law for Trying Cases on Dispute over Contract for the Sale of Commodity Houses violate the privi- ty of contract, which make defects in theory and practice. We should interpret the original intent of the judicial interpreta- tion, to meet the relativity principle of contract, to respect the contractual agreement between the parties, to give the parties the rights to appeal and the rights to choose, to give the right of discretion to judge, to correctly handle the relationship be- tween the relativity principle of contract and discretion.
