多元化战略、完善的公司治理曾被认为是降低公司经营风险，提高经营绩效的有效手段。但国外大多数学者的研究却认为多元化战略会降低企业价值；国内学者的研究结果有多元化战略与企业绩效正相关、负相关和不相关三种。而在公司治理范畴中，研究股权结构、董事会治理和高管激励三个方面对公司绩效的影响的结论也呈现多元化态势。

Diversification strategy and perfect corporate governance have been considered to be the effective means reducing the management risk and improving the business performance. But most of the foreign scholars＂ research shows diversification strategy will reduce enterprise value. The domestic scholars＂ research results have proved that the relationship between the diversification strategy and enterprise performance is positive, negative and uncorrelated three kinds. And in the scope of company management, the conclusions of the influence of ownership structure, the board of directors and the senior management incentive management three aspects on corporate performance also present the diversified situation.
