Overseas listing is a kind of financing modes, in which, a domestic limited company goes public and issues stocks in a forvign stock exchange. Nowadays, more and more Chinese companies choose the mode of overseas listing. Baidu Inc., as one of the leader companies in China＇ s IT industry, was listed on NASDAQ in 2005. By means of the related models, this paper makes an analysis on the internal relationship between overseas listing and the company growth, showing that Baidu Inc. has an obvious advantage in operations and financial situations when compared with the IT companies listed in domestic stock ex- changes. 境外上市是国内股份有限公司向境外投资者发行股票，并在境外证券交易所公开上市的行为。当前中国企业寻求境外上市的规模不断扩大，上市地点不断增多。百度公司作为中国信息技术企业的领跑者之一，于2005年在美国纳斯达克证券市场进行上市，并在企业成长方面取得巨大进步。本文运用相关模型。实证分析境外上市与企业成长存在内在关系，前者对于后者有积极的推动作用。百度公司在境外上市后的经营和财务情况，均反映出其企业成长情况优于国内信息技术企业。百度上市后企业能实现迅速发展，在融资效果、内部控制和国际化经营三个方面都有其具体原因。
