股份制高校是改革开放以来我国高等教育发展基于多元化办学体制与办学模式改革的探索而出现的一种新型的高等教育组织。股份制的资本组织形式使股份制高校的治理结构及其组织治理具有特殊性和重要性。科学、合理、优化的治理结构不仅是股份制高校实现健康运行的基础，而且也是股份制高校实现良治与高效发展的重要保障。基于股份制高校治理结构与管理运行的特殊要求，着重分析了治理结构建构及其优化的问题，并提出相应的策略选择。

The shareholding system university is a new type of higher education organization which derives from the exploration into the reform and development of higher education on the basis of a diversified school-running system and mode since the policy of reform and opening up in China. The shareholding system as a form of cap- ital organization endows the governance structure and organization management of the shareholding system univer- sity with the uniqueness and significance. The scientific, reasonable and optimized governance structure is not only the basis for running the shareholding system university healthily, but also an important guarantee for the good governance and efficient development of the shareholding system university. According to the special re- quirements of governance structure and management operation of the shareholding system university, the paper focuses on the analyses of the construction of governance structure and its optimization, and puts forward some corresponding strategies.
