本文结合中国资本市场的现状，以2008—2010年北京市发生财务重述的沪深两市A股上市公司为样本，建立Logistic模型，从公司特征、股权结构、内部治理和外部治理四个方面探寻影响财务重述发生的因素。结果表明，只有公司特征中的是否是ST和内部治理中的上市公司当年发生并购重组这两个因素与公司财务重述存在显著影响，其他因素在多因素回归分析模型分析中差异不明显。
本文結閤中國資本市場的現狀，以2008—2010年北京市髮生財務重述的滬深兩市A股上市公司為樣本，建立Logistic模型，從公司特徵、股權結構、內部治理和外部治理四箇方麵探尋影響財務重述髮生的因素。結果錶明，隻有公司特徵中的是否是ST和內部治理中的上市公司噹年髮生併購重組這兩箇因素與公司財務重述存在顯著影響，其他因素在多因素迴歸分析模型分析中差異不明顯。
본문결합중국자본시장적현상，이2008—2010년북경시발생재무중술적호심량시A고상시공사위양본，건립Logistic모형，종공사특정、고권결구、내부치리화외부치리사개방면탐심영향재무중술발생적인소。결과표명，지유공사특정중적시부시ST화내부치리중적상시공사당년발생병구중조저량개인소여공사재무중술존재현저영향，기타인소재다인소회귀분석모형분석중차이불명현。
Combining the practice of Chinese financial capital,this paper researches on the influence factors of finan- cial restatement including company features, equity structure, internal management and external management by selecting the financial reports of Beijing A -share listed companies in 2008 -2010 as the sample and setting up logistic model. The result is：ST, merger and acquisition are the main factors which influence financial restatement remarkably.
