建立了代工企业在ODM模式中与跨国公司合作创新的主从博弈模型，并对模型进行仿真分析。指出：跨国公司只在自身知识边际收益较大时才会与代工企业进行合作创新；代工企业根据自身的知识边际收益比例进行知识转移，整个合作过程所转移的知识与跨国公司的意愿转移知识比率正相关；跨国公司的知识转移比率随自身知识边际收益的增加而增大，随所有代工企业的知识边际收益之和的增加而减小。研究结论为跨国公司和代工企业确定最佳舍作模式和相应参与方式提供了理论支持。

This paper establishes a leader-follower game model to analyze the knowledge transfer decisions of subcontracting enterprise and multi-national corporation in cooperative innovation. The results are as follows lthe multi-national corporation selects to cooperate with the subcontracting enterprise for innovation in the condition that its marginal knowledge gain is large; subcontracting enterprises transfer their knowledge capital according to the proportion of their own marginal knowledge gain;transfer knowledge in cooperation process has a positive correlation with the willing transfer knowledge proportion of multi-national corporation; the transfer knowledge proportion of multi-national corporation is increasing along with the increasing of its knowledge marginal gain,and is decreasing along with the increasing of the sum of original design manufacturer marginal gain. These results could provide some theoretical supports on the best cooperation mode and the corresponding participation style for subcontracting enterprises and multi-national corporations.
