以中国上市公司2007—2011年的数据为基础,分析中国上市公司管理层权力、内部治理机制与企业绩效之间的关系。实证结果表明,在不考虑内部治理机制时,管理层权力对企业绩效具有显著正向影响。第一大股东持股比重和董事会规模对管理层权力具有显著负向影响。企业绩效与第一大股东持股比重和独立董事比重之间分别为显著正U形和倒U形关系,与股权制衡之间呈显著负相关关系。企业内部治理机制对管理层权力—企业绩效之间的敏感性具有一定的制约作用。

This paper investigates the relationships among managerial power, internal governance mecha- nisms and firm performance based on the data of listed firms in China during the period 2007 - 2011. The re- sults show that there is significantly positive relationship between managerial power and firm performance when the effects of internal governance mechanisms are ignored. Both the largest .shareholder ownership and board size have significantly negative impacts on managerial power. Tobin's Qinitially decreases with the largest shareholder ownership then increases. There is significantly inverse U - shaped relationship between Tobin's Q and board independence, while there is significantly negative relationship between Tobin's Q and balance of stockholders structure. The internal governance mechanisms have some influences on managerial power- firm performance sensitivity.
