证券市场国际化带来了复杂的涉外证券法律关系。涉外证券基于各国证券法的属地管辖权和域外效力引发了涉外证券的法律冲突。发达国家涉外证券的法律适用规则,集中体现为证券的股权关系、证券的合同关系以及证券的涉外侵权关系三个方面。我国的《涉外民事关系法律适用法》对于涉外证券法律适用规则的规定明显滞后,因此,我国涉外证券的法律适用也可以从这三个方面予以构建。
證券市場國際化帶來瞭複雜的涉外證券法律關繫。涉外證券基于各國證券法的屬地管轄權和域外效力引髮瞭涉外證券的法律遲突。髮達國傢涉外證券的法律適用規則,集中體現為證券的股權關繫、證券的閤同關繫以及證券的涉外侵權關繫三箇方麵。我國的《涉外民事關繫法律適用法》對于涉外證券法律適用規則的規定明顯滯後,因此,我國涉外證券的法律適用也可以從這三箇方麵予以構建。

The internationalization of securities market has brought about complex legal relationships of foreign securities,and territorial jurisdiction and extraterritorial jurisdiction of foreign securities regulated by the securities laws of each country have given rise to the conflict of foreign securities laws.The applicable rules of foreign securities laws in developed countries are epitomized by equity relationship,contractual relationship and infringement relationship,three aspects of securities.The applicable rules of Foreign-related Civil Relations of the People＇s Republic of China concerning foreign securities have lagged far behind compared to the developed countries due to the limitations on the opening-up of securities market.Therefore,China can construct the applicable laws of foreign securities from the three aspects mentioned.
