《深圳经济特区商事条例》中营业转让制度自1999年颁布以来未有任何修订，而实践中出现了很多营业转让行为因立法的空白或不完善导致的纠纷和争议，相关主体利益得不到法律保护。现行营业转让制度主要就营业转让类型、商号转让、债务移转做出规定。随着时间的推移，需要从营业转让制度独立成章、完善营业转让的类型、建立债权人保护机制、增加劳动合同继受和竞业限制条款等方面给予完善。
《深圳經濟特區商事條例》中營業轉讓製度自1999年頒佈以來未有任何脩訂，而實踐中齣現瞭很多營業轉讓行為因立法的空白或不完善導緻的糾紛和爭議，相關主體利益得不到法律保護。現行營業轉讓製度主要就營業轉讓類型、商號轉讓、債務移轉做齣規定。隨著時間的推移，需要從營業轉讓製度獨立成章、完善營業轉讓的類型、建立債權人保護機製、增加勞動閤同繼受和競業限製條款等方麵給予完善。
《심수경제특구상사조례》중영업전양제도자1999년반포이래미유임하수정，이실천중출현료흔다영업전양행위인입법적공백혹불완선도치적규분화쟁의，상관주체이익득불도법률보호。현행영업전양제도주요취영업전양류형、상호전양、채무이전주출규정。수착시간적추이，수요종영업전양제도독립성장、완선영업전양적류형、건립채권인보호궤제、증가노동합동계수화경업한제조관등방면급여완선。
System of business transfer, prescribed in Shenzhen Commercial Regulations, has not been revised since its publication in 1999 ,thus giving rise to many disputes and controversies over business transfer due to the legislative gap or defects, and resulting in the losses of the interest of relevant subjects. Though the current system of business transfer makes the regulations for the type of business transfer, the transfer of business name, and the transfer of debts, it still needs to be improved with the passage of time in the following respects to get the transfer of business independently regulated to im- prove the classification of the business transfer, to establish a mechanism for the protection of creditors, and to increase the terms in number about the transfer of labor contract and competitive restriction.
